Biz Admin Terms and Conditions

1. Introduction

These Terms and Conditions govern your access to and use of Biz Admin, including our website, applications, software, business administration tools, reminder services, document storage services, subscription plans and related services.

By creating an account, accessing Biz Admin, using any feature of Biz Admin or purchasing a subscription, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use Biz Admin.

2. Who We Are

Biz Admin is owned and operated by Uxel Pty Ltd ABN 21653865108.

Throughout these Terms:

“Biz Admin”, “we”, “our” and “us” refer to Uxel Pty Ltd and the Biz Admin platform.

“You” and “your” refer to the individual, business, organisation or authorised representative using Biz Admin.

3. What Biz Admin Does

Biz Admin helps businesses organise and track administrative obligations, compliance activities, licences, permits, registrations, insurance policies, tax-related dates, employment reviews, asset maintenance schedules, recurring business tasks, business records and related documents.

Biz Admin may provide:

reminders;

calendars;

task tracking;

document storage;

business templates;

suggested obligations;

renewal tracking;

compliance tracking tools;

reporting tools;

user management features; and

subscription services.

Biz Admin is an administrative tracking and organisational tool only.

Biz Admin does not provide:

legal advice;

accounting advice;

taxation advice;

financial advice;

insurance advice;

employment advice;

compliance advice;

regulatory advice; or

professional advice of any kind.

4. Professional Advice Disclaimer

All information, reminders, templates, suggested obligations, recommendations, business-type templates, reports, dashboards, calendars and other content provided through Biz Admin are general administrative tools only.

You remain solely responsible for obtaining professional advice appropriate to your circumstances.

You should seek advice from appropriately qualified professionals regarding legal, taxation, accounting, insurance, employment, regulatory and compliance matters.

You must not rely on Biz Admin as a substitute for professional advice.

5. No Compliance Guarantee

Biz Admin does not guarantee that your business is compliant with any law, regulation, licence requirement, permit requirement, industry standard, employment obligation, taxation obligation, insurance requirement or regulatory obligation.

The responsibility for identifying, monitoring and satisfying all obligations applicable to your business remains solely with you.

No feature of Biz Admin should be interpreted as a representation that your business is compliant.

6. Reminder Disclaimer

Reminders, notifications, emails, SMS messages, calendar entries and alerts are convenience features only.

We do not guarantee that reminders will:

be delivered;

be delivered on time;

be accurate;

be complete;

be suitable for your circumstances; or

prevent missed obligations.

You remain fully responsible for:

licences;

permits;

tax obligations;

insurance renewals;

employee obligations;

registrations;

compliance obligations;

payments;

deadlines; and

any other business obligations.

You should maintain independent systems for important obligations.

7. Suggested Obligations and Templates

Biz Admin may provide suggested obligations, checklists, templates and recommended items based on information you provide about your business.

These suggestions are provided for convenience only.

Suggested obligations may not be complete, accurate, current or suitable for your business.

Different businesses may be subject to different legal, regulatory, taxation, employment, licensing and compliance requirements.

You are solely responsible for determining which obligations apply to your business.

8. Eligibility and Accounts

You must be at least 18 years old or have legal authority to enter these Terms.

You must provide accurate information when creating an account.

You are responsible for:

maintaining the security of your login credentials;

maintaining accurate account information;

restricting unauthorised access to your account; and

all activities occurring under your account.

You must notify us immediately if you become aware of unauthorised access.

9. Business Workspaces and Users

Biz Admin is structured around business workspaces.

A business workspace may contain:

business information;

employee information;

contractor information;

customer information;

supplier information;

uploaded documents;

reminders;

administrative records; and

other data entered by authorised users.

Business owners are responsible for:

inviting users;

managing permissions;

removing users;

reviewing access rights; and

activities performed by authorised users connected to their business workspace.

We are not responsible for actions taken by users authorised by a business owner.

10. Documents and Uploaded Content

You may upload documents, records, files and information to Biz Admin.

You warrant that:

you own the content or have authority to upload it;

the content does not infringe another person’s rights;

the content is lawful; and

the content is accurate to the best of your knowledge.

You retain ownership of uploaded content.

You grant us a worldwide, non-exclusive licence to host, store, transmit, process, back up and display uploaded content as reasonably required to operate Biz Admin.

You should maintain independent backups of all important records.

Biz Admin is not intended to be the sole repository for critical business records.

11. Prohibited Use

You must not:

access another user’s account without authority;

upload unlawful content;

upload malware or malicious code;

attempt to reverse engineer Biz Admin;

interfere with the operation of Biz Admin;

scrape or harvest data;

misuse APIs;

breach security controls;

use Biz Admin for unlawful purposes; or

infringe intellectual property rights.

12. Subscriptions and Billing

Biz Admin may offer free and paid plans.

Subscription fees, billing periods and plan inclusions will be displayed before purchase.

Unless clearly stated otherwise, prices are in Australian dollars and include GST.

Subscriptions may be billed monthly or annually.

Payments are processed through Stripe or another payment provider selected by us.

By subscribing, you authorise recurring charges until cancellation.

13. Cancellation and Refunds

You may cancel your subscription at any time.

Cancellation takes effect at the end of the current billing period.

Our 30-day money-back guarantee applies to the first successful paid subscription charge for a Biz Admin workspace, whether the selected plan is billed monthly or annually.

To use the guarantee, email info@uxel.org within 30 calendar days after that charge and identify the account email and workspace. Do not send card details.

We will refund that initial subscription charge in full. The guarantee does not restart on renewal or apply again when a customer returns after cancelling.

When a refund is issued under the guarantee, the associated subscription is cancelled and paid access for that workspace ends.

After the guarantee period, we do not ordinarily provide change-of-mind refunds or refunds for unused parts of a billing period, unless required by law.

This voluntary guarantee is additional to, and does not limit, rights and remedies available under Australian Consumer Law.

14. Founding Membership

OwnerHQ Founding Membership is a limited one-off purchase rather than a recurring subscription. The price shown before checkout is in Australian dollars and includes GST.

A Founding Member spot is confirmed only after successful payment. A checkout reservation may expire after 15 minutes if payment is not completed.

The membership is linked to the email address used at checkout and may not be transferred or resold without our written approval.

Founding Membership includes lifetime access to Biz Admin and Glovebox, plus lifetime access to eligible new OwnerHQ software products first released by Uxel within five years after the Founding Member's successful purchase.

For these Terms, lifetime access means access for as long as Uxel continues to operate and support the relevant included product. It does not promise that any product will operate forever, and access to a product ends if that product is permanently discontinued.

We will not remove an included product solely to repackage substantially the same core product as a new paid subscription. Product names, features and delivery methods may still evolve over time.

Founding access is subject to reasonable fair-use, workspace, member, storage, security, legal and operational limits that apply to the relevant product. It does not include third-party charges, custom development, consulting, hardware or separately identified add-ons.

Our 60-day Founding Member money-back guarantee allows you to request a full refund by emailing info@uxel.org within 60 calendar days after the successful Founding Membership charge. Feedback is welcome but is not a condition of the refund.

A Founding Membership refund ends the refunded membership, founder-funded product access and associated founder benefits. This voluntary guarantee is additional to rights and remedies available under Australian Consumer Law.

15. Free Plans and Usage Limits

We may impose limits on:

storage;

users;

businesses;

reminders;

documents;

uploads;

integrations;

API usage; and

other features.

We may change these limits from time to time.

16. Third-Party Services

Biz Admin relies on third-party providers including:

Stripe;

Firebase;

SendGrid;

PostHog;

Google and Apple sign-in services;

hosting providers;

analytics providers; and

other technical service providers.

These providers may have separate terms and privacy policies.

We are not responsible for third-party services except where required by law.

17. Availability and Data Loss

We aim to provide a reliable service but do not guarantee:

uninterrupted access;

error-free operation;

permanent availability;

complete data recovery; or

uninterrupted reminder delivery.

We may suspend services for:

maintenance;

security;

legal compliance;

technical issues; or

business reasons.

18. Intellectual Property

All intellectual property in Biz Admin including:

software;

branding;

logos;

designs;

databases;

content;

systems; and

documentation

belongs to or is licensed to Uxel Pty Ltd.

No ownership rights are transferred to users.

19. Privacy

Our Privacy Policy explains how personal information is collected, used, disclosed and stored.

By using Biz Admin you agree to the handling of information described in our Privacy Policy.

20. Consumer Rights

Nothing in these Terms excludes any rights that cannot lawfully be excluded under Australian Consumer Law.

Where liability can be limited, our liability is limited to:

supplying the services again; or

paying the cost of having the services supplied again.

21. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

missed deadlines;

missed renewals;

missed tax obligations;

missed compliance obligations;

fines;

penalties;

business interruption;

loss of profit;

loss of revenue;

loss of opportunity;

loss of contracts;

loss of goodwill;

loss of data;

indirect loss; or

consequential loss.

You remain responsible for verifying all information, reminders and records.

22. Indemnity

You agree to indemnify Uxel Pty Ltd against losses, costs, claims and expenses arising from:

your breach of these Terms;

your misuse of Biz Admin;

content you upload; or

infringement of another person’s rights.

This does not apply to the extent the loss is caused by our negligence, fraud or wilful misconduct.

23. Suspension and Termination

We may suspend or terminate access if:

you breach these Terms;

payments are overdue;

security risks arise;

unlawful activity is suspected; or

we are required by law.

You may stop using Biz Admin at any time.

24. Changes to These Terms

We may update these Terms from time to time.

Updated Terms become effective on the date shown in the updated version.

Where practical, we will provide notice of material changes.

Continued use of Biz Admin after changes take effect constitutes acceptance of the updated Terms.

25. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and courts hearing appeals from those courts.
